• Portfolio health assessment and monitoring;

Service Tiers

We offer the following service tiers:

• Basic (Free) Tier: Limited access to Platform features, including basic security assessment, portfolio tracking (up to 2 wallets/exchanges), and limited AI insights.
• Premium Tier: Full access to Platform features, including unlimited wallet connections, comprehensive security analysis, advanced AI insights, and email alerts.

The specific features available in each tier are described on our website and may be updated from time to time.

Feature Limitations

We reserve the right to impose usage limitations on certain features, such as the number of wallet connections or scam checks per day, particularly for free tier users. These limitations will be clearly communicated on our Platform.

5. Read-Only Wallet Access

Connection Process

The Platform allows you to connect your cryptocurrency wallets and exchange accounts for analysis purposes. All wallet and exchange connections are established in read-only mode, which means:

• We can only view your public wallet addresses and transaction data;
• We cannot access your private keys or seed phrases;
• We cannot initiate transactions or move your funds;
• We cannot change any settings on your wallets or exchange accounts;
• You maintain full control of your crypto assets at all times.

Connection Security

We use industry-standard security measures to protect your connected wallet data. However, by connecting your wallets or exchanges, you acknowledge that:

• No internet-connected system can guarantee absolute security;
• You are providing your wallet and exchange connection credentials at your own risk;
• You should review our Privacy Policy to understand how we handle your connection data;
• You are responsible for maintaining the security of your own wallets and exchange accounts.

Data Accuracy

Our ability to analyze your portfolio depends on the data available through the blockchain and exchange APIs. You acknowledge that the Platform's analysis and recommendations are based on this data, which may occasionally be delayed, incomplete, or inaccurate due to factors beyond our control.

6. Subscription and Payments

Subscription Plans

Qryptix AI offers both free and premium subscription plans. The specific features, limitations, and pricing of each plan are detailed on our website and may be updated from time to time.

Payment Terms

If you subscribe to a premium plan:

• You agree to pay all fees associated with your subscription plan;
• Payments will be charged on a recurring basis (monthly or annually) according to the plan you select;
• All payments are processed through our third-party payment processor (Stripe);
• Prices are stated in U.S. dollars and do not include taxes, which may be added to your bill;
• You authorize us to store your payment information for future charges.

Subscription Changes and Cancellations

You may upgrade, downgrade, or cancel your subscription at any time through your account settings. When you cancel:

• Your subscription will remain active until the end of your current billing period;
• You will not receive refunds for any partially used subscription periods;
• After your subscription ends, your account will automatically convert to the free Basic plan.

Refund Policy

We do not offer refunds for subscription fees except in cases where:

• A technical error has resulted in an incorrect charge;
• Premium features were unavailable for a significant period during your billing cycle;
• We are required to do so by applicable law.

Refund requests should be submitted to support@qryptix.ai and will be evaluated on a case-by-case basis.

Free Trial

We may offer free trials of our Premium plan. If you sign up for a free trial:

• You may be required to provide payment information;
• Your subscription will automatically convert to a paid subscription at the end of the trial period unless you cancel before then;
• We will notify you before your trial ends.

7. User Responsibilities

Acceptable Use

When using the Platform, you agree to:

• Comply with all applicable laws and regulations;
• Use the Platform only for its intended purposes;
• Respect the privacy and rights of other users;
• Maintain the security of your account and connected wallets;
• Take responsibility for all actions taken through your account.

Prohibited Activities

You may not use the Platform to:

• Engage in any illegal activities or violate any laws;
• Attempt to gain unauthorized access to other users' accounts or our systems;
• Interfere with or disrupt the operation of the Platform;
• Upload or transmit any viruses, malware, or other harmful code;
• Use automated methods to scrape, extract, or collect data from the Platform;
• Bypass or circumvent any security measures we implement;
• Use the Platform to develop a competing product or service;
• Reverse engineer, decompile, or attempt to extract the source code of the Platform;
• Sell, license, or otherwise commercialize the Platform's features or content;
• Engage in any activity that could damage, disable, or impair the functioning of the Platform.

Monitoring and Enforcement

We reserve the right to:

• Monitor your use of the Platform for compliance with these Terms;
• Investigate any suspicious or potentially prohibited activities;
• Take appropriate action against any user who violates these Terms, including but not limited to suspending or terminating access to the Platform;
• Report any activity we reasonably believe to be illegal to appropriate law enforcement authorities.

8. Content and Submissions

User Content

You may have the opportunity to submit content to the Platform, such as feedback, comments, or suggestions ("User Content"). By submitting User Content, you:

• Represent that you own or have the necessary rights to such content;
• Grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content for the purpose of providing and improving our services;
• Acknowledge that we may remove any User Content at our discretion if we believe it violates these Terms or may create liability.

Prohibited Content

You may not submit any content that:

• Infringes on any intellectual property rights;
• Is illegal, harmful, threatening, abusive, harassing, defamatory, or invasive of privacy;

• All intellectual property rights in the Platform belong to Qryptix AI or its licensors;
• Nothing in these Terms transfers any ownership rights in the Platform to you;
• The Qryptix AI name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Qryptix AI or its affiliates or licensors.

License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform for your personal or internal business purposes. This license does not include the right to:

• Copy, modify, or create derivative works based on the Platform;
• Use any data mining, robots, or similar data gathering and extraction methods;
• Download (other than page caching) any portion of the Platform;
• Resell or make commercial use of the Platform or its content;
• Make any use of the Platform that could damage, disable, overburden, or impair our servers or networks;
• Access or attempt to access any systems or servers on which the Platform is hosted.

Third-Party Content and Services

The Platform may include content provided by third parties, including cryptocurrency market data, news, and analytics. Such third-party content is the sole responsibility of the party that makes it available. We do not guarantee the accuracy, integrity, or quality of third-party content and are not responsible for any loss or damage resulting from your reliance on such content.

10. Non-Advisory Nature

The Platform provides information and analysis for educational and informational purposes only. You acknowledge and agree that:

• Qryptix AI is not a registered investment advisor, broker-dealer, or financial services provider;
• The information and analysis provided by the Platform do not constitute financial advice, investment advice, trading advice, or any other type of advice;
• No content on the Platform should be interpreted as a recommendation to buy, sell, or hold any cryptocurrency or make any investment decision;
• The Platform's insights, alerts, and analysis are generated using algorithms and may not account for your specific financial circumstances, goals, or risk tolerance;

Independent Decision-Making

You agree that:

THE PLATFORM AND ALL CONTENT, FEATURES, AND FUNCTIONALITY ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. QRYPTIX AI EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.

Accuracy and Reliability

While we strive to provide accurate and reliable information, we do not guarantee:

• The accuracy, completeness, or timeliness of the information provided by the Platform;
• That our security analysis will identify all potential risks or scams;

• There are technical risks associated with cryptocurrency transactions, including network failures, consensus attacks, or coding errors;
• Past performance of any cryptocurrency is not indicative of future results.

12. Limitation of Liability

Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QRYPTIX AI, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM;
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM;
• ANY CONTENT OBTAINED FROM THE PLATFORM;
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT;
• INVESTMENT DECISIONS MADE BASED ON INFORMATION OR ANALYSIS PROVIDED BY THE PLATFORM.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF QRYPTIX AI, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS, RELATING TO THE SERVICES EXCEED THE GREATER OF THE AMOUNTS ACTUALLY PAID BY YOU FOR THE SERVICES DURING THE 12-MONTH PERIOD PRIOR TO THE EVENT GIVING RISE TO SUCH LIABILITY OR $100.

Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you. These limitations will apply to the maximum extent permitted by applicable law.

13. Indemnification

You agree to defend, indemnify, and hold harmless Qryptix AI, its affiliates, and their respective officers, directors, employees, agents, suppliers, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms;
• Your use of the Platform;
• Your violation of any rights of another person or entity;
• Your violation of any applicable laws, rules, or regulations;
• Any User Content that you submit to the Platform.

This indemnification obligation will survive the termination of these Terms and your use of the Platform.

14. Termination

Termination by You

You may terminate your account at any time by:

• Accessing your account settings and following the account deletion process;
• Contacting us at support@qryptix.ai with your account deletion request.

Termination by Us

We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms;
• Engagement in fraudulent or illegal activities;
• Non-payment of any fees owed;
• Extended periods of inactivity;
• Upon request by law enforcement or government agencies;
• For technical or security reasons.

Effect of Termination

Upon termination:

• Your right to access and use the Platform will immediately cease;
• We may delete or archive your account information and content;
• Any subscription fees already paid will not be refunded unless required by applicable law;
• Any provisions of these Terms that by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

Platform Discontinuation

We reserve the right to modify, suspend, or discontinue the Platform or any part thereof at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Platform.

15. Changes to Terms

We may revise these Terms at any time by updating this page. The revised Terms will be effective upon posting, with the "Last Updated" date at the top of this page indicating when the most recent changes were made.

For material changes to these Terms:

• If you do not agree to the revised Terms, you must stop using the Platform.

16. Governing Law

These Terms and your use of the Platform shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

17. Dispute Resolution

Informal Resolution

Before filing a claim against Qryptix AI, you agree to attempt to resolve the dispute informally by contacting us at legal@qryptix.ai. We will attempt to resolve the dispute by contacting you via email. If the dispute is not resolved within 30 days of submission, either party may proceed as described below.

Arbitration Agreement

Except for disputes that qualify for small claims court, all disputes arising out of or related to these Terms or the Platform shall be resolved through binding arbitration rather than in court, except that you may assert claims in small claims court if your claims qualify.

The arbitration will be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Payment of all filing, administration, and arbitrator fees will be governed by the AAA's rules.

The arbitration shall be conducted in the English language and shall take place in Wilmington, Delaware, or at another mutually agreed location. The decision of the arbitrator shall be final and binding.

Class Action Waiver

YOU AND QRYPTIX AI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Unless both you and Qryptix AI agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

Opt-Out

You have the right to opt out of the arbitration and class action waiver provisions set forth above by sending written notice of your decision to opt out to legal@qryptix.ai within 30 days of the date you first accept these Terms.
